By using this website (the “Site”), this application (the ”App”) and services
(together with the Site, the App, the “Services”) offered by HappyChain
(together with its parents, subsidiaries, affiliates, agents, representatives,
consultants, employees, officers, and directors — collectively, “HappyChain,”
“we,” or “us”), you’re agreeing to these legally binding rules (the “Terms”).
You’re also agreeing to our Privacy Policy and agreeing to follow any other
Rules on the Site/App, as well our Trust & safety section.
We may change these terms from time to time. If we do, we’ll let you know
about any material changes, either by notifying you on the Site/App or by
sending you an email. New versions of the terms will never apply retroactively
— we’ll tell you the exact date they go into effect. If you keep using HappyChain
after a change, that means you accept the new terms.
HappyChain is an online multilevel crowdfunding platform for people and
entities (“Creators” and/or “Contributors”, collectively “Users”) seeking to raise
funds for their own Projects and to contribute to the Projects of others.
Project Creators can offer rewards in the form of tangible items or intangible
services (collectively, "Perks") to Contributors.
Contributors who joined a Project can keep parts of the funds raised from the
other contributors who joined the Chain in the next levels.
Users under 18 years of age are not eligible to use the Services in real money (“Cherry” items). Users between the ages of 13 and 17, can use the Services in free money (« Peanuts » items) with the consent and supervision of a parent or legal guardian who is at least 18 years old, provided such parent or legal guardian also agrees to be bound by the Terms and agrees to be responsible for such use of the Services. Users suspended from using the Services are not eligible to use the Services. HappyChain reserves the right to refuse use of the Services to anyone and to reject, cancel, interrupt, remove or suspend any Project, Contribution, or the Services at any time for any reason without notice or liability.
To use HappyChain’s functions, you’ll need to register, choose an account
name, a picture and set a password. When you do that, the information you
give us must be accurate and complete. Don’t impersonate anyone else or
choose names, picture that are offensive or that violate anyone’s rights. If you
don’t follow these rules, we may cancel your account.
You’re responsible for all the activity on your account, and for keeping your
password confidential. If you find out that someone’s used your account without
your permission, you should report it to support@happychainapp.com.
You can terminate your account at any time sending the request at
support@happychainapp.com. All provisions of this agreement survive
termination of an account, including our rights regarding any content you’ve
already submitted to the Site/App. (For instance, if you’ve launched a project,
deleting your account will not remove the project from the Site.)
Creators are not permitted to create a Project to raise funds for illegal activities,
to cause harm to people or property, or to scam others. If the Project is claiming
to do the impossible or it's just plain phony, don't post it. Users must comply
with all applicable laws and regulations in connection with their Projects,
including offering Perks and using Contributions. Creators shall not make any
false or misleading statements in connection with their Projects.
Creators must not: (1) include threatening, abusive, harassing, defamatory,
libellous, or profane content in any Project, or content that is invasive of
another’s privacy; (2) impersonate any person or entity, including any employee
or representative of HappyChain, or (3) infringe any patent, trademark, trade
secret, copyright, right of publicity, or other right of any other person or entity, or
violate any law or contract.
Electoral campaigns are also prohibited on HappyChain.
Contributors are solely responsible for asking questions and investigating Creators and Projects to the extent they feel is necessary before making a Contribution. All Contributions are made voluntarily and at the sole discretion and risk of the Contributor. HappyChain does not guarantee that Contributions will be used as promised, that Creator will deliver Perks, or that the Project will achieve its goals. HappyChain does not endorse, guarantee, make representations, or provide warranties for or about the quality, safety, morality or legality of any Project, Perk or Contribution, or the truth or accuracy of User Content posted on the Services.
Creating an account on HappyChain is free.
Users can use free items (“Peanuts”) to Create or Contribute a Project which
not involved real money.
In order to Create or Contribute a real money Project, Users can use a Voucher
(green Cherry) or buy red Cherry items.
HappyChain apply 5% fee on all funds (Cherry items) raise by Creators and
Contributors.
To collect your funds, you must sell your items (red Cherries), so our payment
partner can apply payment processing fees between 3% to 5% according your
location.
We will not collect any fees without giving you a chance to review and accept
them. If our fees ever change, we’ll announce that on our Site/App. Some funds
pledged by Users are collected by payment providers. Each payment provider is
its own company, and HappyChain isn’t responsible for its performance.
You’re responsible for paying any additional fees or taxes associated with your
use of HappyChain.
HappyChain is partner with other companies for payment processing. When you
back or create a project, you’re also agreeing to the payment processor’s terms
of service.
Creators and Contributors that use PayPal in connection with a Project
acknowledge and agree to comply with PayPal’s Crowdfunding and Acceptable
Use Policies. Credit card payment processing services for Users on
HappyChain are provided by “Provider” and are subject to the “Provider”
Account Agreement, which includes the “Provider” Terms of
Service (collectively, the "Provider Services Agreement"). By continuing to
operate as a User on HappyChain, you agree to be bound by the “Provider”
Services Agreement, as the same may be modified by “Provider” from time to
time. As a condition to HappyChain enabling credit card payment processing
services through “Provider”, you agree to provide HappyChain accurate and
complete information about you and your business, and you authorize
HappyChain to share any such information with “Provider”, as well as
transaction information related to your use of the payment processing services
provided by “Provider”. In all cases, standard credit card or other third party
processing fees apply in addition to any Service Fees. We are not responsible
for the performance of any third-party credit card processing or third party
payment services.
>Creators & Contributors are solely responsible for determining how to treat their
Contributions and receipt of any Perks for tax purposes, according their location
laws.
We don’t own the stuff you post on HappyChain. But when you post it, you are giving us permission to use or copy it however we need to run the Site/App, or show people what’s happening on it. You are responsible for the content you post, and you are vouching to us that it’s all okay to use.
HappyChain work hard to provide you with great services, but we can’t
guarantee everything will always work perfectly: This Site/App is presented as-
is, without warranties.
HappyChain isn’t liable for any damages or losses related to your use of the
Services. We don’t become involved in disputes between users, or between
users and any third party relating to the use of the Services. We don’t oversee
the performance or punctuality of projects, and we don’t endorse any content
users submit to the Site/App. When you use the Services, you release
HappyChain from claims, damages, and demands of every kind — known or
unknown, suspected or unsuspected, disclosed or undisclosed — arising out of
or in any way related to such disputes and the Services. All content you access
through the Services is at your own risk. You’re solely responsible for any
resulting damage or loss to any party.
To the fullest extent permitted by law, in no event will HappyChain, its directors,
employees, partners, suppliers, or content providers be liable for any indirect,
incidental, punitive, consequential, special, or exemplary damages of any kind,
including but not limited to damages (i) resulting from your access to, use of, or
inability to access or use the Services; (ii) for any lost profits, data loss, or cost
of procurement or substitute goods or services; or (iii) for any conduct of content
of any third party on the Site.
If you do something that gets us sued, or break any of the promises you make in this agreement, you agree to defend, indemnify, and hold us harmless from all liabilities, claims, and expenses (including reasonable attorneys’ fees and other legal costs) that arise from or relate to your use or misuse of HappyChain. We reserve the right to assume the exclusive defence and control of any matter otherwise subject to this indemnification clause, in which case you agree that you’ll cooperate and help us in asserting any defences.
Most disputes can be resolved without resort to litigation, so we at HappyChain
encourage you to contact us if you’re having an issue, before resorting to the
courts. In the unfortunate situation where legal action does arise, these Terms
(and all other rules, policies, or guidelines incorporated by reference) will be
governed by and construed in accordance with the laws of the “City/Country”,
without giving effect to any principles of conflicts of law.
You agree that HappyChain and its Services are deemed a passive
website/App that does not give rise to jurisdiction over HappyChain or its
parents, subsidiaries, affiliates, assigns, employees, agents, directors, officers,
or shareholders, either specific or general, in any jurisdiction other than the
“City/Country”.
You agree that any action at law or in equity arising out of or relating to these
Terms, or your use or non-use of HappyChain, shall be filed only in the state or
federal courts located in “City/Country”, and you hereby consent and submit to
the personal jurisdiction of these courts for the purposes of litigating any such
action. You hereby irrevocably waive any right you may have to trial by jury in
any dispute, action, or proceeding.
In the event of a conflict between these the English language version of the Terms and any foreign language translation versions thereof, the English language version of the Terms shall govern and control. All disputes, claims and causes of action (and related proceedings) will be communicated in English. Unless otherwise explicitly stated, all materials found on the Services are solely directed to individuals, companies, or other entities located in “Country”.
